Terms of Service

Effective date: 26 April 2026

These Terms of Service ("Terms") form a binding agreement between you ("you", "Customer") and Sefarai FZC LLC, a company registered in the Sharjah SPC Free Zone, United Arab Emirates ("Sefarai", "we", "us"), governing your use of the Mizan service available at mizan.sefarai.com(the "Service").

By creating an account or otherwise using the Service, you confirm that you have read and accepted these Terms and our Privacy Policy. If you do not agree, do not use the Service.

1. The Service

Mizan is an AI-powered compliance screening tool that analyzes employment contracts and answers questions against indexed UAE labor-law documents. It returns automated guidance, risk indicators, citations to source articles, and estimated fine ranges.

2. Not Legal Advice

The Service does not provide legal advice and is not a substitute for a qualified lawyer. All output, including compliance verdicts, fine estimates, and recommendations, is informational guidance generated by an AI model based on indexed documents and may contain errors, omissions, or misinterpretations. You must not rely solely on the Service for any compliance, employment, or regulatory decision. We strongly recommend that all findings be reviewed by a qualified UAE employment lawyer before action is taken.

3. Eligibility & Accounts

  • You must be at least 18 years old and able to enter into a binding contract.
  • The Service is intended for businesses and HR professionals; you represent that you are using it on behalf of an organisation or in a professional capacity.
  • You are responsible for keeping your account credentials confidential and for all activity under your account.
  • You must provide accurate information when registering and keep it up to date.

4. Plans, Fees & Billing

  • The Service offers a Free tier and paid subscription tiers (Professional, Business, and Enterprise). Current pricing and limits are shown on the Service.
  • Paid subscriptions are billed monthly in advance through Stripe in the currency displayed at checkout. Prices are inclusive of any applicable VAT unless stated otherwise.
  • Subscriptions automatically renew at the end of each billing period unless cancelled before the renewal date.
  • You may cancel at any time from the billing page. Cancellation takes effect at the end of the current billing period; you retain access until then.
  • No partial-month or pro-rated refunds are issued for cancellations. We may issue discretionary refunds in cases of confirmed billing error.
  • If a payment fails, we may suspend or downgrade your account until payment is resolved.
  • We may change pricing on at least 30 days' notice; new pricing applies on your next renewal.

5. Acceptable Use

You agree not to:

  • Upload contracts you do not have the right to process, or contracts containing personal data of third parties without their consent.
  • Use the Service to violate any law or regulation, or to make decisions that have a discriminatory, defamatory, or unlawful effect on any person.
  • Reverse engineer, decompile, scrape, or attempt to extract the underlying models, prompts, or indexed corpus.
  • Bypass usage limits, share an account across multiple paying users, or resell access to the Service.
  • Probe, scan, or overload the Service or its infrastructure.

We may suspend or terminate accounts that breach these rules, with or without notice.

6. Intellectual Property

  • The Service, including its software, models, prompts, branding, and indexed corpus, is owned by Sefarai or its licensors and is protected by intellectual-property laws.
  • You retain all rights to the contracts and content you upload. By uploading, you grant Sefarai a limited, non-exclusive, royalty-free licence to process that content solely to provide the Service to you, for the duration of the request.
  • You may use the Service's output internally for compliance review purposes. You may not redistribute the output as a stand-alone product.

7. Service Availability

We aim to keep the Service available but do not guarantee uninterrupted operation. Maintenance, third-party outages (OpenAI, Supabase, Stripe), and unforeseen incidents may cause downtime. We are not liable for losses caused by unavailability.

8. Termination

You may stop using the Service and delete your account at any time. We may suspend or terminate your access if you breach these Terms, if continued provision of the Service would expose us to legal risk, or if we discontinue the Service. On termination, paid Customers retain access until the end of the current billing period; thereafter access is removed and your data is handled per the Privacy Policy.

9. Disclaimer of Warranties

The Service is provided "as is" and "as available" without warranties of any kind, whether express or implied, including warranties of merchantability, fitness for a particular purpose, accuracy, or non-infringement. We do not warrant that the Service's output will be error-free, complete, or suitable for any specific compliance decision.

10. Limitation of Liability

To the maximum extent permitted by law, Sefarai will not be liable for any indirect, incidental, consequential, punitive, or special damages, or for any lost profits, lost revenue, lost data, or loss of goodwill, whether under contract, tort, or any other legal theory, even if advised of the possibility of such damages. This includes any fines, penalties, employment disputes, or regulatory actions resulting from reliance on the Service.

Our total aggregate liability for all claims arising from or related to the Service is limited to the greater of (a) the fees paid by you to Sefarai in the twelve (12) months preceding the event giving rise to the claim, or (b) one hundred United Arab Emirates Dirhams (AED 100).

11. Indemnification

You agree to indemnify and hold Sefarai harmless from any claim, loss, or expense (including reasonable legal fees) arising out of (a) your breach of these Terms, (b) your misuse of the Service, or (c) the content you upload to the Service.

12. Governing Law & Dispute Resolution

These Terms are governed by the laws of the Emirate of Sharjah and the federal laws of the United Arab Emirates, without regard to conflict-of-law principles. Any dispute that cannot be resolved amicably will be submitted to the exclusive jurisdiction of the competent courts of the Emirate of Sharjah, United Arab Emirates.

13. Changes to These Terms

We may update these Terms from time to time. The effective date at the top reflects the latest version. Where changes are material, we will provide reasonable advance notice. Continued use after the effective date of an updated version constitutes your acceptance of the changes.
